Commercial registration (CR) in Saudi Arabia

Your commercial registration (CR) is your business’s official record with the Ministry of Commerce. Under the 2024 Commercial Register Law, one registration can cover several activities, and you must confirm your registration data every year.

What a CR is

The Ministry of Commerce keeps the Commercial Register, and every merchant must be registered in it (Commercial Register Law, Articles 3 and 5). The current law was issued by Royal Decree No. M/83 on 22 September 2024. It replaced the 1416H law and took effect 180 days after publication in the Official Gazette (Article 29).

Before you apply

  • Foreign investors: complete your MISA investment registration first. MISA says you can issue a CR once you receive its notice that registration is complete (MISA FAQ 2.2).
  • Choose your legal form, such as an establishment, an LLC or an SJSC. Read business structures.
  • Prepare the data the law requires (Article 6): the applicant’s name, address and ID number; your trade name; legal form; capital; the managers or board members and their powers; and the address of your main place of business.

How to apply

  1. Apply online. All CR applications are electronic (Article 8). Applications go through the Saudi Business Center platform, which works with the Ministry of Commerce.
  2. Add your activities. You can register several business activities on one CR, even if they are unrelated, subject to other laws (Article 9).
  3. Wait for a decision. The registrar decides on a complete application within 10 days. If the application is rejected for an error or a missing item, you can correct it within the period set in the Regulations. You can appeal a rejection to the Ministry within 60 days (Article 7).
  4. Connected registrations. The Ministry of Commerce says issuing a CR also opens your files with the Ministry of Human Resources and Social Development, ZATCA, GOSI, Saudi Post’s national address service and the Chamber of Commerce (Ministry of Commerce).

The yearly confirmation

Every merchant must submit an annual statement confirming the data in the register (Article 11). The rules for missing it are strict (Article 15):

  • If you do not confirm within 90 days of the due date, the registrar suspends your registration. You get 14 days’ notice first.
  • While suspended, every licence issued under that CR is suspended too.
  • Suspension lasts one year. You can lift it during that year by confirming, paying the fees and paying any fine.
  • If nothing is done in that year, a sole trader’s registration is struck off. For a company or a foreign company’s branch, the Ministry may ask the partners to dissolve the company or go to court to dissolve it.

Updating your CR

If anything in your registration changes, such as managers, address, capital or activities, you must update it within 15 days (Article 10). You are responsible for the accuracy of the data you submit, not the registrar (Article 12).

Penalties

Giving incorrect data, failing to register, or failing to update, confirm or display your registration can bring a fine of up to SAR 50,000. The fine can double for a repeat violation within three years (Article 21).

Closing a CR

If you stop trading, you can ask for a voluntary strike-off, subject to the Companies Law (Article 13). For a company, the strike-off is subject to the Companies Law, and a completed liquidation also leads to strike-off (Article 14).
